DEALERSHIP PARTNERSHIP AGREEMENT
This Dealership Partnership Agreement (“Agreement”) is entered into as of [Date Of This Application] by and between:

CarWizard Limited Liability Company (“Company”), with its principal office located at [2625 E Greenway Parkway, Suite 276, Phoenix AZ, 85032], and
[Dealership Name Listed in This Form] (“Dealership”), collectively referred to as the “Parties.”

1. CONTRACTUAL RELATIONSHIP
1.1 Agreement Scope:
The Company agrees to provide full-stack digital services, including but not limited to advertising, marketing, social media management, software solutions, and global vehicle listing services, for the Dealership.

1.2 Term of Agreement:
The term of this Agreement is [1-4 years based on package selection] (“Initial Term”), beginning on the date this Agreement is signed. After the Initial Term, the Agreement shall renew automatically on a month-to-month basis unless either party provides a 30-day written termination notice.

1.3 Non-Exclusivity:
The Parties acknowledge that this Agreement is non-exclusive, and CarWizard LLC may enter into similar agreements with other dealerships.

2. SERVICES PROVIDED
2.1 Scope of Services:
The Company shall deliver the following:
a. Global Listings: Feature the Dealership’s inventory on CarWizard’s global listing platform.
b. Advertising & Marketing: Provide digital campaigns tailored to the Dealership’s budget.
c. Social Media Management: Create and manage engaging content across social platforms.
d. Data Solutions: Supply advanced insights and analytics to optimize sales performance.
e. Innovative Software: Offer tools and platforms to enhance dealership operations.

2.2 Professional Conduct:
The Dealership agrees to represent the Company’s services professionally and collaborate in good faith to achieve mutually beneficial outcomes.

3. PAYMENT TERMS
3.1 Monthly Fees:
The Dealership agrees to pay CarWizard LLC a monthly fee based on the package selected. Payment shall be due on the 1st day of each month.

3.2 Late Payments:
a. Payments overdue by more than 10 days will incur a 5% late fee.
b. Failure to pay within 30 days will result in suspension or termination of services.

3.3 No Refunds:
All payments are non-refundable.

4. OWNERSHIP AND RIGHTS
4.1 Company Ownership:
All intellectual property, including but not limited to services, platforms, trademarks, data, software, and marketing materials, remains the sole property of CarWizard LLC.

4.2 Account and Listings Rights:
Any dealership inventory, accounts, or listings managed under this Agreement remain the property of CarWizard LLC during the Agreement term.

4.3 Confidentiality:
Both Parties agree to keep all proprietary business information confidential.

5. TERMINATION
5.1 Termination by Either Party:
Either party may terminate this Agreement:
a. For convenience with a 30-day written notice following the Initial Term.
b. For cause if the other party breaches a material term of this Agreement and fails to cure such breach within 15 days of written notice.

5.2 Effect of Termination:
a. All services shall cease immediately.
b. The Dealership remains liable for any unpaid fees incurred prior to termination.
c. The Company retains ownership of all accounts, platforms, or intellectual property.

6. NON-SOLICITATION AND NON-COMPETITION
6.1 Non-Solicitation:
During the term of this Agreement and for 12 months following its termination, the Dealership agrees not to solicit, divert, or attempt to divert CarWizard clients, employees, or partners.

6.2 Non-Competition:
The Dealership agrees not to use CarWizard-provided tools, data, or services to replicate, compete with, or develop a similar platform or service during the term of this Agreement and for 12 months thereafter.

7. REPRESENTATIONS AND WARRANTIES
7.1 Company Warranty:
CarWizard LLC represents that it will deliver all services professionally and in compliance with industry standards.

7.2 Dealership Warranty:
The Dealership represents that it is legally authorized to enter into this Agreement and will provide accurate, timely information as required.

8. LIMITATION OF LIABILITY
To the fullest extent permitted by law, CarWizard LLC’s total liability under this Agreement shall not exceed the total fees paid by the Dealership in the 6 months preceding the event giving rise to the claim.

9. GOVERNING LAW
This Agreement shall be governed by the laws of the State of Arizona without regard to conflicts of law principles.

10. ENTIRE AGREEMENT
This Agreement represents the entire understanding between the Parties and supersedes all prior agreements, written or oral. Any amendments must be made in writing and signed by both parties.
